End-User License Agreement

Terms for using the uWash website and wholesale business portal. Hamzz Pty Ltd, trading as uWash Home Detergent.

1. Agreement

This End-User License Agreement (“EULA”) is a legal agreement between you (“User”, “you”, or “your”) and Hamzz Pty Ltd, trading as uWash Home Detergent (“uWash”, “we”, “us”, or “our”), for use of the website uwash.co.za, related online services, and the uWash wholesale business portal (together, the “Service”).

By accessing or using the Service, creating an account, or placing an order, you confirm that you have read, understood, and agree to be bound by this EULA. If you do not agree, you must not use the Service.

2. Licence grant

Subject to your compliance with this EULA, Hamzz Pty Ltd grants you a limited, non-exclusive, non-transferable, revocable licence to access and use the Service for lawful business purposes related to purchasing uWash homecare and detergent products.

This licence does not sell or transfer ownership of the Service, software, branding, product information, pricing tools, or any intellectual property belonging to uWash or its licensors.

3. Eligibility and business accounts

The wholesale portal is intended for registered businesses and trade customers in South Africa. You represent that:

  • you are authorised to act on behalf of the business you register;
  • information you provide during registration is accurate and complete;
  • your account will be used only by authorised personnel; and
  • you will keep login credentials confidential.

We may approve, suspend, or terminate business accounts at our discretion, including where verification documents are incomplete, inaccurate, or misleading.

4. Permitted use

You may use the Service to:

  • browse approved product listings and pricing assigned to your account;
  • place wholesale orders for delivery within our operating areas;
  • manage your business profile and order history; and
  • communicate with us regarding orders, deliveries, or account support.

5. Restrictions

You may not, without our prior written consent:

  • copy, scrape, reverse engineer, or attempt to extract source code from the Service;
  • circumvent access controls, pricing rules, or account approval requirements;
  • share portal access, pricing, or confidential product information with unauthorised third parties;
  • use the Service for unlawful, fraudulent, or abusive purposes;
  • upload malware, interfere with site security, or overload our systems; or
  • use uWash trademarks or materials in a way that suggests partnership, agency, or endorsement beyond your approved customer relationship.

6. Products, pricing, and orders

Product descriptions, images, availability, and pricing may change without notice. Displayed prices apply to your assigned price range and approved account status at the time of order placement.

An order constitutes an offer to purchase. We may accept or reject orders due to stock availability, credit review, delivery constraints, pricing errors, or compliance requirements. Payment must be completed through our approved payment methods before orders are fulfilled, unless otherwise agreed in writing.

Title and risk in goods pass in accordance with our delivery terms and applicable South African law once goods are delivered or collected as agreed.

7. Intellectual property

All rights in the Service, including the uWash name, logos, product branding, website design, text, graphics, software, and documentation, are owned by Hamzz Pty Ltd or its licensors and are protected by applicable intellectual property laws.

Except for the limited licence in section 2, no rights are granted to you under this EULA.

8. Third-party services

The Service may integrate with third-party providers such as payment processors, authentication platforms, mapping services, and accounting systems. Your use of those features may also be subject to the third party’s terms. We are not responsible for third-party services outside our reasonable control.

9. Privacy

Our collection and use of personal information is described in our Privacy Policy. By using the Service, you acknowledge that policy.

10. Disclaimer

The Service is provided on an “as is” and “as available” basis to the fullest extent permitted by law. We do not warrant that the Service will be uninterrupted, error-free, or free from security vulnerabilities.

Product information on the website is provided for business ordering purposes. You are responsible for verifying that products meet your intended use, storage, and labelling requirements.

11. Limitation of liability

To the maximum extent permitted by South African law, Hamzz Pty Ltd, its directors, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive loss arising from your use of the Service, including loss of profit, data, or business opportunity.

Where liability cannot be excluded, our total liability for any claim relating to the Service will be limited to the amount paid by you to uWash for the order giving rise to the claim during the six (6) months before the event, except where law requires otherwise.

12. Indemnity

You agree to indemnify and hold harmless Hamzz Pty Ltd against claims, losses, and expenses arising from your breach of this EULA, misuse of the Service, or violation of applicable law.

13. Suspension and termination

We may suspend or terminate access to the Service immediately if you breach this EULA, if required by law, or if continued access poses a security, fraud, or operational risk.

Upon termination, your licence ends and you must stop using the Service. Provisions that by nature should survive termination will continue to apply, including intellectual property, disclaimers, limitation of liability, and governing law.

14. Changes to this EULA

We may update this EULA from time to time. The “Last updated” date below indicates the latest revision. Continued use of the Service after changes are posted constitutes acceptance of the updated EULA, unless applicable law requires otherwise.

15. Governing law

This EULA is governed by the laws of the Republic of South Africa. The courts of South Africa have jurisdiction over disputes arising from or connected with this EULA, subject to any mandatory consumer or business protections that apply to you.
